Welcome to Priya Impex (“we,” “us,” or “our”), an India-based import-export company specializing in dehydrated fruits, spices, and vegetables, accessible via priyaimpexs.com. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and all transactions for products exported from India to global markets. By placing an order, registering, or using our platform, you agree to these Terms, our Privacy Policy, and applicable laws including India’s Foreign Trade Policy and Incoterms 2020. If you do not agree, do not use our services.

1. Scope of Services

Priya Impex facilitates the export of premium dehydrated products such as mango slices, garlic flakes, onion granules, and carrots from India. We handle sourcing, processing, packaging, export documentation (e.g., invoice, packing list, certificate of origin), and logistics under agreed Incoterms (e.g., FOB Chennai, CIF destination port). Buyers are solely responsible for import duties, taxes, licenses, and compliance in their countries.

2. Orders and Order Acceptance

  1. All orders require a formal purchase order via email or portal, specifying product details, quantities, Incoterms, and delivery timeline.
  2. We reserve the right to accept, reject, or cancel orders at our discretion, notifying you promptly.
  3. Minimum order value: USD 1,000 for bulk exports.
  4. Product specifications match our catalog; variations due to natural sourcing (e.g., spice potency) are possible within quality tolerances.

3. Pricing and Payment Terms

  1. Prices are quoted in USD, exclusive of taxes, duties, freight, insurance, or currency fluctuations unless stated.
  2. Payment methods: 30-50% advance via wire transfer, irrevocable Letter of Credit (LC), or escrow; balance against documents or on delivery.
  3. Late payments accrue 1.5% monthly interest. All bank charges are borne by the buyer.
  4. Prices are subject to change without notice due to raw material costs or forex rates.

4. Delivery and Shipping

  1. Estimated lead times: 4-8 weeks from order confirmation, subject to production and shipping availability.
  2. Delays from force majeure (e.g., strikes, natural disasters, port congestion) do not constitute breach.
  3. Title and risk transfer per Incoterms; we provide insurance only if requested and prepaid.
  4. Shipping documents dispatched electronically; physical copies via courier at buyer’s cost.

5. Quality Assurance and Warranties

  1. Products comply with FSSAI, HACCP, ISO 22000, and destination country standards (e.g., EU MRLs for spices).
  2. Limited warranty: Goods free from defects for 12 months from shipment. Remedy limited to replacement or refund at our option, excluding misuse or improper storage.
  3. Sold “as is” thereafter; no warranties express or implied for fitness or merchantability beyond this.

6. Returns, Refunds, and Claims

  1. Notify defects within 7 days of receipt with photos and samples. Valid claims resolved within 30 days.
  2. No returns for perishable goods post-inspection; shipping costs non-refundable.
  3. Refunds issued only after product return and verification, less restocking fees.

7. Limitation of Liability

  1. Our total liability shall not exceed the order value.
  2. Excluded: Indirect, consequential, or punitive damages (e.g., lost profits, business interruption).
  3. Force majeure events absolve us of responsibility.

8. Intellectual Property

All trademarks, logos, product images, and catalogs are our property. You may not reproduce or use them without written permission.

9. Prohibited Conduct

  1. No reselling our products below agreed wholesale prices or misrepresenting origin.
  2. Compliance with anti-bribery laws (e.g., FCPA, UK Bribery Act) mandatory.

10. Governing Law and Dispute Resolution

  1. Governed by laws of India; jurisdiction in courts of [Visakhapatnam, Andhra Pradesh].
  2. Disputes first resolved amicably; unresolved matters via arbitration under Indian Arbitration and Conciliation Act, 1996, in English.

11. Amendments and Severability

We may update these Terms; continued use implies acceptance. Invalid provisions do not affect remaining terms.
